Disclosures & Important Information

BuyerSignal™ is an informational vehicle acquisition-intelligence platform operated by VINTrakID. It is designed to help verified consumers signal their intent to purchase a specific type of vehicle and to receive non-binding indications of interest from independent dealers and sellers ("Dealers") who choose to participate.

VINTrakID provides the platform, the matching technology, the AI-generated insights, and the privacy controls. Every purchase, lease, financing arrangement, trade-in, delivery, or warranty discussion is initiated, negotiated, and completed directly between the buyer and the independent Dealer.

Submitting a signal does not guarantee that you will receive any offer, that any specific vehicle will be available, or that any received offer will reflect the pricing, terms, mileage, condition, color, trim, options, or delivery timing you requested.

Dealer participation is voluntary and varies by region, season, inventory, market conditions, and individual Dealer business decisions. The number of offers you receive — including the possibility of receiving zero offers — is outside VINTrakID's control.

All offers presented through BuyerSignal™ are non-binding indications of interest until a definitive purchase agreement is signed directly with the Dealer.

Dealers participating in BuyerSignal™ are independent businesses. They are not employees, agents, affiliates, partners, joint venturers, or franchisees of VINTrakID, and VINTrakID does not control their inventory, pricing, financing terms, delivery practices, marketing, or customer service.

While VINTrakID verifies certain baseline information about each Dealer at onboarding (such as dealer licensing where applicable), VINTrakID does not continuously audit every claim a Dealer makes about a specific vehicle. Buyers are responsible for performing their own due diligence — including inspections, test drives, history reports, title verification, and review of all financing and warranty terms — before completing any transaction.

VINTrakID does not extend credit, originate loans, underwrite leases, or evaluate any user's creditworthiness. Any financing presented through BuyerSignal™ is offered by independent Dealers or their lending partners and is subject to that party's independent credit review, terms, and approvals.

BuyerSignal™ "verification levels" (such as "Finance-Ready" or "Cash Buyer") reflect a user's self-reported intent or documented evidence the user has provided. They are not a representation that any lender will approve the user for financing, that any specific rate or term will be offered, or that any prior credit decision has been made by VINTrakID or any third party.

Information surfaced through BuyerSignal™ may not be used in whole or in part to determine an individual's eligibility for credit, insurance, employment, housing, or any other purpose that would qualify as a "permissible purpose" under the FCRA. Dealers and other platform users agree to this restriction as a condition of platform participation.

Signal Strength™, Match Score™, market summaries, Intelligence Briefs, leverage indicators, pricing intelligence, and other AI-generated outputs presented through BuyerSignal™ are informational estimates produced by a combination of deterministic rules and machine-learning systems.

VINTrakID continuously refines the underlying models. Scores and narratives may change over time as inputs, model versions, and methodology evolve. Historical scores are not predictive of future outcomes.

Silent Mode™ is BuyerSignal™'s default privacy posture. While Silent Mode™ is active for a given offer, Dealers see only the information they need to make a competitive offer — vehicle target, budget band, timeline, region, and verification level. Your name, contact details, exact location, and account identifiers are redacted from the Dealer view.

You may choose to reveal your identity on a specific offer at any time. Identity reveal is per-offer, requires explicit confirmation, and is logged for your records. Revealing identity on one offer does not reveal identity on any other open offer. Accepting an offer is treated as a constructive reveal — your contact details are shared with that one Dealer so the transaction can proceed.

Pricing references, market medians, percentile bands, and historical price indicators displayed through BuyerSignal™ are derived from a combination of public data, third-party data partners, Dealer-provided information, and proprietary modeling. These references are informational estimates and do not represent guaranteed transaction prices, appraisals, or offers.

Vehicle prices change rapidly with market conditions, geography, condition, mileage, options, incentives, and individual Dealer pricing strategy. The actual price you may obtain from any specific Dealer for any specific vehicle may differ — sometimes materially — from any reference shown on the platform.

Nothing in BuyerSignal™ creates a brokerage, agency, fiduciary, advisory, or representation relationship between VINTrakID and any user, Dealer, lender, or third party. VINTrakID does not negotiate on your behalf, does not represent you to Dealers, and does not represent Dealers to you.

Where state or local law would otherwise classify a particular feature of BuyerSignal™ as brokerage, advisory, or referral activity, VINTrakID reserves the right to restrict the feature in that jurisdiction or to operate it through an appropriately licensed affiliate.

Users agree to use BuyerSignal™ honestly and in good faith. Prohibited conduct includes — without limitation — submitting fraudulent or non-bona-fide signals, impersonating another person, scraping or reverse-engineering the platform, attempting to extract Dealer or buyer identities through indirect means, manipulating scores or match outputs, abusing communication channels, and using the platform for any purpose prohibited by applicable law.

VINTrakID may suspend, restrict, or terminate any account that engages in prohibited conduct, may revoke previously granted offers, and may share information with law enforcement where legally required.

Dealer participation in BuyerSignal™ is voluntary and may evolve over time. VINTrakID may at its discretion adjust which Dealers can see which signals based on Dealer license status, geography, vehicle category, account status, abuse history, subscription level, and other operational considerations.

BuyerSignal™ may surface a curated subset of offers to a buyer rather than every offer received. Where curation occurs, the platform applies match-quality and integrity filters; it does not auction visibility to the highest-paying Dealer for any individual buyer's decisioning. Subscription, sponsorship, or other commercial arrangements with Dealers — if introduced — will be disclosed separately and will not override the buyer-protective filters.

Any reference to "better offers," "savings," "leverage," "market competitiveness," or comparable outcomes describes the design intent of the platform — not a promise of any particular result for any particular user.

Actual outcomes depend on factors outside VINTrakID's control, including inventory, regional demand, the specifics of the vehicle requested, the buyer's flexibility, Dealer participation, financing terms negotiated separately, and macroeconomic conditions. Results vary and are not guaranteed.

By creating a BuyerSignal™, you consent to receive transactional communications related to your signal — including email or in-app notifications about Dealer offers, status changes, and security-relevant events. Transactional communications are required for the platform to function and cannot be globally disabled while a signal is active.

Marketing communications, when offered, are separately opt-in or opt-out per applicable law and your VINTrakID account preferences. You may close or pause an active signal at any time from your BuyerSignal™ dashboard to stop new offer notifications.

To the maximum extent permitted by applicable law, VINTrakID, its affiliates, and their respective directors, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or related to BuyerSignal™ — including, without limitation, damages for lost profits, lost opportunity, lost savings, loss of goodwill, data loss, vehicle transactions that do not close, or transactions that close on terms different from those discussed on the platform.

Nothing in this section is intended to limit liability that cannot be limited under applicable law (for example, certain consumer-protection statutes). The VINTrakID Terms of Service govern the overall liability framework for the platform.

Disputes arising out of or related to BuyerSignal™ are subject to the dispute-resolution provisions of the VINTrakID Terms of Service, which generally require binding individual arbitration and waive class-action participation, subject to the exceptions and opt-out rights set forth in those Terms.

Disputes between a buyer and a Dealer concerning a vehicle, financing terms, delivery, or any aspect of a transaction are between those parties. VINTrakID is not a party to those transactions and is not bound to resolve them, though it may offer good-faith assistance at its discretion.

VINTrakID may modify, suspend, or discontinue features of BuyerSignal™ at any time. Where a change materially affects the rights or obligations of users, VINTrakID will provide reasonable notice through the platform, by email, or by updating these Disclosures.

These Disclosures are versioned. The current version and effective date appear at the top of this page. Significant updates trigger a renewed acknowledgment prompt for active users.
